If you are using the Services on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

To access certain features of our Services, you must create an account. When you create an account, you agree to:

4. Use of Services

4.1 Permitted Use

You may use the Services for lawful purposes only. You agree not to use the Services:

Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services.

5. Fees and Payments

5.1 Commission Fees

Shaqqi charges a commission fee of 10% on all transactions made through our Services. This fee will be automatically deducted from the payment received by freelancers. By using the Services, you agree to this commission fee structure.

5.2 Payment Processing

All payments made through the Services will be processed by third-party payment processors. You agree to provide accurate and complete information about your payment method and to promptly update your payment information in case of any changes.

6. User Content

6.1 Responsibility for User Content

You are solely responsible for any content you post, upload, or otherwise make available through the Services (“User Content”). You represent and warrant that:

You own or have the necessary licenses, rights, consents, and permissions to use and authorize Shaqqi to use all User Content.
Your User Content does not infringe, misappropriate, or violate a third party's intellectual property rights or rights of publicity or privacy.

6.2 License to User Content

By posting User Content on or through the Services, you grant Shaqqi a worldwide, non-exclusive, royalty-free, transferable, sub-licensable license to use, reproduce, modify, distribute, and display such User Content in connection with providing the Services.

7. Intellectual Property

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Shaqqi, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

8. Termination

We may terminate or suspend your account and access to the Services, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

9. Disclaimers and Limitation of Liability

9.1 Disclaimers

The Services are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

9.2 Limitation of Liability

In no event shall Shaqqi, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the Services; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from the Services; (iv) any bugs, viruses, Trojan horses, or the like that may be transmitted to or through our Services by any third party; (v) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Services; and/or (vi) the defamatory, offensive, or illegal conduct of any third party. In no event shall Shaqqi’s aggregate liability exceed the amount paid by you to Shaqqi in the past six months.

10. Indemnification

You agree to defend, indemnify, and hold harmless Shaqqi and its officers, directors, employees, agents, partners, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, your User Content, any use of the Services' content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Services.

11. Dispute Resolution

11.1 Governing Law

11.2 Arbitration

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Shaqqi regarding the use of the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions of these Terms will remain in full force and effect.

13.3 Waiver

No waiver by Shaqqi of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Shaqqi to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

13.4 Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms at any time without notice to you.
